Terms of Service

By accessing, browsing, or using the WTTB website and platform (collectively referred to as the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("User", "you", or "your") and WTTB LTD ("WTTB", "Company", "we", "us", or "our"), a company registered in England with company number 15097004, with its registered office at Unit 15 Thames Gateway Park, Chequers Lane, Dagenham, England, RM9 6FB.

If you do not agree with any part of these Terms, you must immediately discontinue use of the Platform. Your continued use of the Platform following any modifications to these Terms constitutes acceptance of those modifications.

These Terms apply to all visitors, users, and others who access or use the Platform, whether as registered users or as unregistered visitors browsing publicly available content. Certain features of the Platform, including access to detailed investment profiles and portfolio tracking tools, require registration and are subject to additional terms specific to those services.

By using this Platform, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into binding agreements under the laws of your jurisdiction. If you are accessing the Platform on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

WTTB operates an online platform that connects investors with opportunities in the developmental and educational toy sector. Our services include, but are not limited to:

• Investment Profiles: Curated and researched profiles of companies and opportunities within the educational toy market, including STEM kits, sensory play products, building sets, coding robots, Montessori-inspired materials, and eco-friendly toy manufacturers.
• Market Research: Reports, analyses, and educational content related to the developmental and educational toy industry, covering market trends, consumer behaviour, regulatory developments, and innovation in the sector.
• Portfolio Dashboard: A personalised interface for registered users to track selected investment opportunities, view updates, and access communications from WTTB regarding the sector.
• Educational Resources: Articles, guides, and materials designed to help investors understand the educational toy market and make informed decisions based on their own judgment and independent professional advice.

WTTB acts as an information and connection platform. We do not provide personalised investment advice, financial planning services, or portfolio management. The information provided through the Platform is intended for general informational and educational purposes only. We do not manage client funds directly, and all investment decisions remain solely with the individual investor.

The availability, scope, and features of our services may change from time to time. We reserve the right to modify, suspend, or discontinue any aspect of the Platform without prior notice, although we will make reasonable efforts to inform users of significant changes.

To use the WTTB Platform, you must meet the following eligibility requirements:

• You must be at least 18 years of age.
• You must have the legal capacity to enter into binding contracts under the laws applicable to you.
• You must not be prohibited from using the Platform under any applicable law or regulation in your jurisdiction.
• You must provide accurate and truthful information during the registration process and maintain the accuracy of that information throughout your use of the Platform.

WTTB reserves the right to verify the eligibility of any user and to refuse access or terminate accounts that do not meet these requirements. We may request additional identification or verification documentation at any time, and failure to provide such documentation when requested may result in the suspension or termination of your account.

To access certain features of the Platform, you must create an account by providing your full name, email address, and a secure password. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to:

• Choose a strong, unique password that is at least 8 characters long.
• Not share your account credentials with any third party.
• Notify WTTB immediately if you become aware of any unauthorised access to or use of your account.
• Not create multiple accounts for the same individual.
• Not create accounts using false or misleading information.

WTTB is not liable for any loss or damage arising from your failure to safeguard your account credentials. You remain responsible for all actions taken through your account, whether or not those actions were authorised by you. We recommend enabling any additional security features we may offer and regularly updating your password.

When using the WTTB Platform, you agree to the following obligations:

• Lawful Use: You will use the Platform only for lawful purposes and in compliance with all applicable local, national, and international laws and regulations.
• No Scraping or Automated Access: You will not use automated tools, bots, scrapers, spiders, or any other automated means to access, collect, or extract data from the Platform without our express written permission.
• No Impersonation: You will not impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
• No Interference: You will not attempt to interfere with, compromise, or disrupt the integrity, security, or performance of the Platform or any related systems, servers, or networks.
• No Illegal Activity: You will not use the Platform to facilitate, promote, or engage in any illegal activity, including but not limited to fraud, money laundering, or the financing of terrorism.
• No Redistribution: You will not redistribute, republish, or make available to any third party any content from the Platform, including investment profiles and market research, without prior written consent from WTTB.
• Respect for Others: You will not submit, post, or transmit any content that is defamatory, abusive, threatening, harassing, obscene, or otherwise objectionable.
• Accurate Information: You will provide accurate, current, and complete information when prompted by the Platform and will maintain and update that information as needed.

WTTB reserves the right to investigate and take appropriate action against any user who violates these obligations, including suspension or termination of account access and reporting to relevant authorities where applicable.

All content, materials, features, and functionality on the WTTB Platform are owned by or licensed to WTTB LTD and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. This includes, without limitation:

• Website design, layout, and visual elements
• Text, articles, research reports, and educational materials
• Investment profiles and analyses
• Graphics, images, illustrations, and icons
• Software, code, algorithms, and underlying technology
• Trademarks, service marks, trade names, and logos

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your personal, non-commercial purposes only. This licence does not include the right to:

• Modify, copy, distribute, or create derivative works based on Platform content
• Use any data mining, robots, or similar data gathering and extraction methods
• Download, store, or cache any substantial portion of Platform content
• Use Platform content for any commercial purpose without express written consent
• Remove, alter, or obscure any proprietary notices, labels, or marks

Any unauthorised use of the Platform's intellectual property may violate copyright, trademark, and other applicable laws and could result in legal action.

The WTTB Platform and all content, features, services, and materials provided through it are offered on an "as is" and "as available" basis, without warranties of any kind, either express or implied.

To the fullest extent permitted by applicable law, WTTB disclaims all warranties, including but not limited to:

• Accuracy: We make no warranty that the information on the Platform is accurate, complete, current, or reliable. While we endeavour to ensure the quality of our research and analysis, errors or omissions may occur.
• Availability: We do not guarantee that the Platform will be available at all times or that it will operate without interruption, error, or delay. Maintenance, updates, and external factors may cause temporary disruptions.
• Fitness for Purpose: We make no warranty that the Platform or its content will meet your specific requirements, investment goals, or expectations.
• Security: While we employ industry-standard security measures, we cannot guarantee that the Platform is completely secure or free from vulnerabilities, viruses, or other harmful components.
• Results: We make no warranty regarding the results that may be obtained from the use of the Platform or the accuracy, reliability, or completeness of any investment-related information.

Any reliance you place on information provided through the Platform is strictly at your own risk. WTTB expressly disclaims any responsibility for decisions made based on information obtained through the Platform.

To the maximum extent permitted by applicable law, WTTB LTD, its directors, officers, employees, agents, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, data, use, goodwill, or other intangible losses
• Investment losses or diminution in the value of investments
• Damages resulting from unauthorised access to or alteration of your data
• Damages resulting from any interruption or cessation of transmission to or from the Platform
• Damages resulting from the use or inability to use the Platform
• Damages resulting from reliance on any information provided through the Platform

In no event shall the total aggregate liability of WTTB to you for all claims arising from or related to your use of the Platform exceed the greater of: (a) the amount you have paid to WTTB, if any, in the twelve (12) months preceding the event giving rise to the claim; or (b) one hundred pounds sterling (GBP 100).

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law, including the Consumer Rights Act 2015.

You agree to indemnify, defend, and hold harmless WTTB LTD, its directors, officers, employees, agents, contractors, and affiliates from and against any and all claims, demands, damages, costs, losses, liabilities, and expenses (including reasonable legal fees and court costs) arising from or relating to:

• Your use of or access to the Platform
• Your violation of these Terms of Service
• Your violation of any applicable law, regulation, or third-party rights
• Any content or information you submit, post, or transmit through the Platform
• Your investment decisions, whether or not influenced by information obtained through the Platform
• Any misrepresentation made by you

This indemnification obligation shall survive the termination or expiration of these Terms and your use of the Platform. WTTB reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defence of such claim.

The WTTB Platform may contain links to third-party websites, services, or resources that are not owned, operated, or controlled by WTTB. These links are provided for your convenience and informational purposes only.

WTTB does not endorse, approve, or assume any responsibility for the content, accuracy, privacy practices, or policies of any third-party websites or services. You acknowledge and agree that WTTB is not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any content, goods, or services available on or through any third-party websites or services.

We strongly recommend that you review the terms of service and privacy policies of any third-party websites or services that you visit or interact with. Your interaction with any third-party website or service is solely between you and that third party, and WTTB has no obligation to intervene in any disputes between you and third parties.

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the WTTB Platform, you consent to the collection and use of your information as described in our Privacy Policy.

We encourage you to read our Privacy Policy carefully to understand how we handle your personal data, what cookies we use, how we work with advertising partners, and what rights you have regarding your personal information under applicable data protection laws, including the General Data Protection Regulation (GDPR) and the UK GDPR.

These Terms of Service and any disputes or claims arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

You agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, their subject matter, or their formation. However, if you are a consumer resident in the European Union, you may also bring proceedings in the courts of your country of residence.

Nothing in these Terms shall affect any statutory rights that you may have as a consumer under the laws of your country of residence that cannot be waived or limited by contract.

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform, the parties agree to first attempt to resolve the matter informally. You agree to contact WTTB in writing at the email address provided in Section 19 of these Terms, describing the nature and basis of your dispute, and the specific relief sought.

WTTB will endeavour to respond to your dispute notice within fifteen (15) business days. Both parties agree to engage in good-faith negotiations for a period of at least thirty (30) days from the date of the initial dispute notice before pursuing any formal legal proceedings.

If the dispute cannot be resolved through informal negotiation within the thirty-day period, either party may pursue formal resolution through the courts of England and Wales in accordance with Section 13 of these Terms. Alternatively, the parties may mutually agree to submit the dispute to mediation administered by an accredited mediation service in England.

Nothing in this section prevents either party from seeking injunctive or equitable relief from a court of competent jurisdiction where necessary to protect intellectual property rights or to prevent irreparable harm.

WTTB reserves the right to suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Grounds for termination may include, but are not limited to:

• Violation of any provision of these Terms
• Engaging in conduct that we determine, in our sole discretion, is harmful to other users, third parties, or the business interests of WTTB
• Providing false, misleading, or fraudulent information
• Using the Platform for any unlawful purpose
• Extended periods of account inactivity
• Requests from law enforcement or governmental agencies

You may terminate your account at any time by contacting us at the email address provided in Section 19. Upon termination, your right to use the Platform will cease immediately.

The following sections of these Terms shall survive termination: Intellectual Property, Investment Risks, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution.

Termination of your account does not relieve you of any obligations incurred prior to termination, including any pending investment commitments made through the Platform.

WTTB reserves the right to modify, update, or replace these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page and, for material changes, provide notice through one or more of the following methods:

• A prominent banner or notice on the WTTB homepage for a minimum of fourteen (14) days before the changes take effect
• An email notification to registered users at the email address associated with their account
• A notification within the Platform dashboard for registered users

Material changes will not take effect until at least fourteen (14) days after the notice is posted. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you should discontinue use of the Platform and, if applicable, request deletion of your account.

We recommend reviewing these Terms periodically to stay informed about the rules governing your use of the Platform. The most current version of these Terms will always be available on this page.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent. If modification is not possible, the provision shall be severed from these Terms.

The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions of these Terms, which shall continue in full force and effect.

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and WTTB LTD regarding your use of the Platform. These Terms supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Platform.

No waiver of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or any other term. Any failure by WTTB to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
